Confidentiality Agreement - Egg Donor Database

Fearless Surrogacy and the Intended Parent(s) would like to enter into a confidentiality agreement with regards to accessing Fearless Surrogacy’s Egg Donor database. The Intended Parent(s) will receive confidential information in regards to Fearless Egg Donors to make an informed decision and find a suitable Egg Donor.

All written and oral information and materials disclosed or provided by Fearless Surrogacy to the Intended Parent(s) under this agreement constitute confidential information regardless of whether such information was provided before or after the date of this agreement or how it was provided to the Intended Parent(s).

I/We understand

Confidential information means any and all information related to and in regards to Egg Donors including but not limited to:

‘Egg Donor Information’ which may include names of donors, their contact information, personal health history and photographs. Confidential information will also include any information that has been disclosed by a third party to Fearless Surrogacy and is protected by a non-disclosure agreement.

Except as otherwise provided in this Agreement, the Intended Parent(s) must keep the Confidential Information confidential.

Except as otherwise provided in this Agreement, the database will remain the exclusive property of Fearless Surrogacy and will only be used by the Intended Parent(s) for the permitted purpose. The Intended Parent(s) will not use the confidential information for any purpose that might be directly or indirectly detrimental to Fearless Surrogacy or its’ Egg Donors.

I/We agree

The obligations to ensure and protect the confidentiality of the confidential information imposed on the Intended Parent(s) in this agreement and any obligations to provide notice under this Agreement will survive the expiration or termination as the case may be of this agreement and those obligations will last indefinitely.

I/We agree

The Intended Parent(s) may disclose any of the confidential information: the such employees, agents, representatives, clinics and advisors of the Intended Parent(s) that have a need to know for the permitted purpose provided that:

-The Intended Parent(s) have received permission from Fearless Surrogacy to share information -Such personnel agree to be legally bound to the same burdens of confidentiality and non-use as the Intended Parent(s); -The Intended Parent(s) agrees to take all necessary steps to ensure that the terms of this agreement are not violated by such personnel; and -The Intended Parent(s) agrees to be responsible for and indemnify Fearless Surrogacy for any breach of this agreement by their personnel.

If the Intended Parent(s) loses or fails to maintain the confidentiality of any of the Confidential information in breach of this Agreement, the Intended Parent(s) will immediately notify Fearless Surrogacy and take all reasonable steps necessary to retrieve the lost or improperly disclosed confidential information.

Please understand that these statements are legally binding and that by agreeing to the above mentioned conditions, you enter into a legal confidentiality agreement with Fearless Surrogacy.
